a. Governing Law: These Terms will be governed by and construed in accordance with the laws of the State of Delaware, applicable to agreements made and entirely performed therein, without resort to its conflict of law provisions.

b. Jurisdiction: Despite being governed by Delaware law, for operations and legal proceedings, the jurisdiction will be the State of California, where UTA AI INC. operates.

c. Arbitration Agreement: Any disputes or claims arising out of or in connection with these Terms shall be resolved by binding arbitration, conducted in English, in California, in accordance with the rules of the American Arbitration Association.

d. Exceptions to Arbitration: Intellectual property, illegal activities, or significant breaches of these Terms are not subject to arbitration and may be adjudicated in the state or federal courts in California.

c. No Endorsement or Liability: Wanderboat's suggestion or facilitation of third-party services does not constitute an endorsement. We are not liable for the quality, accuracy, or reliability of any services, products, or content provided by third parties.

d. User Responsibility for Third-Party Interactions: You are responsible for reviewing the terms, conditions, and privacy policies of third-party providers. Wanderboat is not responsible for any disputes, losses, or damages arising from your interactions with these third parties.

b. By User: You may terminate your use of Wanderboat at any time by ceasing all use of the service and, if applicable, deleting your account.

c. Effect of Termination: Upon termination, all rights granted to you under these Terms will cease immediately, and you must cease all use of the service.

d. Survival: Sections that, by their nature, should survive termination of these Terms shall continue in effect post-termination. This includes, but is not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

a. Force Majeure: Neither party shall be liable for any failure of performance due to events beyond its reasonable control, including natural disasters, acts of God, or war.

**DMCA Policy and Intellectual Property Infringement

a. Respecting Intellectual Property: Wanderboat respects the intellectual property rights of others and expects its users to do the same.

b. Infringement Notifications: If you believe that your work has been copied in a way that constitutes copyright infringement on Wanderboat, please provide us with a written notification containing:

• Your physical or electronic signature.
• A description of the copyrighted work you claim has been infringed.
• A description of where the infringing material is located on Wanderboat.
• Your contact information (address, telephone number, and email address).
• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement made under penalty of perjury that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

c. Counter-Notification: If you believe your content was wrongly removed due to a copyright claim, you may send a counter-notification including your signature, identification of the removed content, and a statement under penalty of perjury that you believe the content was removed by mistake.

d. Handling of Claims: Upon receipt of valid infringement notifications, Wanderboat will promptly remove or disable access to the allegedly infringing content and will inform the content provider of the action taken.

e. Repeat Infringers: Wanderboat will terminate user accounts of those who are repeat infringers in appropriate circumstances.
