g. Service Usage Limitations: Do not use Wanderboat for unauthorized purposes such as competitive product development, reverse engineering, or unauthorized resale. Each account is for individual use.

c. Limitation of Liability: UTA AI INC., its affiliates, directors, employees, or agents, are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

d. User Responsibility and Risk: You assume total responsibility for your use of Wanderboat. Any reliance you place on the service is strictly at your own risk.

e. Enforcement and Compliance: UTA AI INC. reserves the right to take action against any use of Wanderboat that violates these Terms, including legal actions or account termination.

9. Governing Law and Dispute Resolution

a. Governing Law: These Terms will be governed by and construed in accordance with the laws of the State of Delaware, applicable to agreements made and entirely performed therein, without resort to its conflict of law provisions.

b. Jurisdiction: Despite being governed by Delaware law, for operations and legal proceedings, the jurisdiction will be the State of California, where UTA AI INC. operates.

c. Arbitration Agreement: Any disputes or claims arising out of or in connection with these Terms shall be resolved by binding arbitration, conducted in English, in California, in accordance with the rules of the American Arbitration Association.

d. Exceptions to Arbitration: Intellectual property, illegal activities, or significant breaches of these Terms are not subject to arbitration and may be adjudicated in the state or federal courts in California.

c. No Endorsement or Liability: Wanderboat's suggestion or facilitation of third-party services does not constitute an endorsement. We are not liable for the quality, accuracy, or reliability of any services, products, or content provided by third parties.

d. User Responsibility for Third-Party Interactions: You are responsible for reviewing the terms, conditions, and privacy policies of third-party providers. Wanderboat is not responsible for any disputes, losses, or damages arising from your interactions with these third parties.

e. Transactions and Payment Processing: Transactions conducted through third-party payment processors are subject to the terms and policies of those processors. Wanderboat is not responsible for the handling, processing, security, or any aspect of these transactions.

f. Disclaimer for Third-Party Content: Wanderboat disclaims any responsibility for the accuracy or reliability of third-party content or services accessed through our platform. Your use of such content or services is solely at your own risk.

12. Termination

a. By Wanderboat: We reserve the right to suspend or terminate your access to Wanderboat at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, our business, or third parties.

b. By User: You may terminate your use of Wanderboat at any time by ceasing all use of the service and, if applicable, deleting your account.

c. Effect of Termination: Upon termination, all rights granted to you under these Terms will cease immediately, and you must cease all use of the service.

d. Survival: Sections that, by their nature, should survive termination of these Terms shall continue in effect post-termination. This includes, but is not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Miscellaneous

a. Force Majeure: Neither party shall be liable for any failure of performance due to events beyond its reasonable control, including natural disasters, acts of God, or war.

f. Entire Agreement: These Terms constitute the entire agreement between you and Wanderboat and supersede all prior agreements and understandings, whether written or oral.

**DMCA Policy and Intellectual Property Infringement

a. Respecting Intellectual Property: Wanderboat respects the intellectual property rights of others and expects its users to do the same.

b. Infringement Notifications: If you believe that your work has been copied in a way that constitutes copyright infringement on Wanderboat, please provide us with a written notification containing:

d. Handling of Claims: Upon receipt of valid infringement notifications, Wanderboat will promptly remove or disable access to the allegedly infringing content and will inform the content provider of the action taken.

e. Repeat Infringers: Wanderboat will terminate user accounts of those who are repeat infringers in appropriate circumstances.
