A shareholders’ agreement can contain a pre-emption clause to prevent potentially adverse third parties from buying equity in a company and lowering the number of current shareholders. In the event that any shares are offered for sale by another Shareholder hereunder, such shares shall be offered for sale to Existing Shareholders first. If a shareholder’s agreement contains a pre-emption clause, they are compelled to offer their shares to the other shareholders first, under the same terms and conditions they obtained from the third party. If the existing shareholders decline to purchase the shares, the shareholder may transfer the shares to a different party.
